This is a draft agreement for discussion only. Do not rely on it as a final legal contract until it has been reviewed by qualified counsel and formally adopted by Eunoia Systems Ltd.
Agreement
These terms govern access to and use of Boma ("the Service") provided by Eunoia Systems Ltd("Eunoia", "we", "us"). By creating an account or using the Service after we make terms available, you agree to this draft to the extent it applies in your jurisdiction.
Invitation-only access
Boma is built for private communities. Access is by personal invitation from a steward or the product team. You may not attempt to bypass invitation controls, scrape member lists, or use the Service to build a public directory.
Your account
You must provide accurate contact information for sign-in. You are responsible for activity under your account. One-time codes and sessions should be kept confidential. Notify us promptly if you suspect unauthorised use.
Acceptable use
You agree not to misuse the Service. For example, you must not:
- Harass, threaten, or abuse others, or post unlawful content;
- Upload malware or attempt to disrupt or probe our systems;
- Misrepresent your identity or affiliation; or
- Use the Service for bulk marketing, surveillance, or profiling people outside their community context.
Stewards may moderate content according to tools we provide. We may suspend or terminate accounts that violate these terms or put the Service or other users at risk.
Content and licence
You retain rights to content you submit. To operate the Service, you grant Eunoia a limited, worldwide, non-exclusive licence to host, reproduce, display, and distribute your content solely for providing Boma to you and your boma (including backups, security, and compliance).
Third parties
The Service may link to or rely on third-party infrastructure (for example messaging providers). Their terms may apply in addition to ours where disclosed in the product or documentation.
Disclaimers
The Service is provided "as is" to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. Boma is not a substitute for professional, medical, legal, or emergency services.
Limitation of liability
To the extent permitted by law, Eunoia and its directors, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data. Our aggregate liability arising out of the Service will not exceed the greater of (a) amounts you paid us in the twelve months before the claim or (b) a nominal sum where the Service is free — except where liability cannot be limited by law.
Termination
You may stop using the Service at any time. We may suspend or end access for breach of these terms, legal requirements, or product sunsetting with reasonable notice where practicable.
Governing law
The governing law and venue clause will be set for the company's jurisdiction after incorporation details are finalised. Until then, parties should seek independent legal advice on applicable law.
